SALES PARTNERSHIP AGREEMENT
Terms and Conditions

 Partnership Agreement between the company buying goods, hereinafter referred to as "Vendor" and KONA CAVE® by Happy Hanalei GbmH hereinafter "Supplier" whose address is Reinhardtstrasse 47 10117, Berlin Germany.

By placing an order, the Vendor accepts all Supplier’s terms and conditions set forth in this Sales Partnership Agreement.

 

MARKETING / BRANDING

  1. Vendor agrees to market and promote Supplier’s brand (KONA CAVE®) in line with its upscale, luxury brand image.
  2. Vendor agrees to use Supplier’s marketing information (logo, images, text and content) solely for the purpose of marketing Supplier’s brand.
  3. Vendor agrees to protect brand image of Supplier and to not intentionally do anything that would diminish or lower the brand image.
  4. Vendor agrees to not share any of Supplier’s marketing information (logo, images, text and content)with any other party.
  5. Both Supplier and Vendor have the right to terminate agreement at any time.
  6. Once agreement is terminated, Vendor agrees to remove, and no longer use, any and all marketing and brand content provided by Supplier.

WHOLESALE ORDERS:

  1. A Wholesale Order is any order of 4 or more products.
  2. Vendor to provide a valid VAT Number and company information prior to first purchase.
  3. VAT will be applied to invoice as applicable.
  4. Orders are placed via email to Kitty Corbett at Kitty@konacave.com
  5. Order fulfillment is subject to on-hand inventory.
  6. An invoice will be issued to Vendor prior to shipment of product. It is the Vendor’s responsibility to verify that all information, including shipping address, on the invoice is accurate.
  7. Payment terms are 14 days via bank transfer.
  8. Vendor is responsible for shipping costs from Supplier fulfillment center to Vendor destination.
  9. Orders are processed and shipped within 1 - 3 business days of confirmation.
  10. Orders are shipped via DPD or DHL standard service.

DROP-SHIP ORDERS:

  1. A Drop-ship Order is any order of 3 or less products.
  2. Vendor to provide a valid VAT Number and company information prior to first purchase.
  3. Orders are placed via online website portal (www.konacave.com) with personalized discount code.
  4. The Supplier accepts credit card, Paypal or bank transfer (by request) at the time of order.
  5. Order is shipped after payment is received.
  6. Drop-ship pricing includes delivery costs to the Vendor or end customer.
  7. VAT is included in Drop Ship pricing where applicable.
  8. Orders placed for delivery outside of Vendor’s Country, will incur additional delivery costs and are subject to different Drop-ship Prices. These orders must be made by email to: Kitty Corbett at Kitty@konacave.com.
  9. Vendor is responsible to ensure accuracy and availability of items offered for sale from Supplier (Please reference KONA CAVE® Availability Chart).
  10. Orders are processed and shipped within 1 - 3 business days of confirmation.
  11. Vendor is responsible for any additional shipping and handling charges, including refusals and returns.
  12. Orders are shipped via DPD or DHL standard service.

WHOLESALE RETURN REQUESTS:

  1. In the event of a product defect, supplier will accommodate a return.
  2. Please contact supplier in advance of return to receive a Return Authorization number (RA#)
  3. Supplier will accommodate return shipping fees and issue a refund when returned product is received.
  4. Return Requests for reasons other than defects are at the sole discretion of the Supplier.
  5. Vendor is responsible for return shipping fees for any approved Return Requests.
  6. Please contact supplier in advance of return to receive a Return Authorization number (RA#)
  7. A €9 restocking fee (for returned or exchanged goods) will be deducted from the amount refunded to the vendor.

DROP-SHIP RETURN REQUESTS:

  1. In the event of a product defect, supplier will accommodate a return.
  2. Please contact supplier in advance of return to receive a Return Authorization number (RA#)
  3. Supplier will accommodate return shipping fees for defective items and issue a refund when returned product is received.
  4. A return or exchange request for non-defective merchandise, is at the discretion of the supplier.
  5. Please contact supplier in advance of return to receive a Return Authorization number (RA#)
  6. Return or exchange shipping costs are the responsibility of the Vendor.
  7. Vendor refund will be issued after returned or exchanged merchandise is received by Supplier.
  8. A €9 restocking fee (for returned or exchanged goods) will be deducted from the amount refunded to the vendor.

CANCELLATION REQUESTS:

Our goal is to ship orders as soon as they are submitted. Therefore, Cancellation Requests made after fulfillment has started processing are not possible. 

  1. Cancellations Requests that are not able to be accommodated by Supplier, and result in a Return Request, are subject to the above Return Request conditions.
  2. In the event that an approved Cancellation Request is accidentally shipped, Vendor is responsible to return canceled goods to Supplier.

 CONFIDENTIAL INFORMATION

During the course of business between Vendor and Supplier, Supplier may provide Vendor with confidential information related to Supplier’s business. Such confidential information may include inventory levels, product features and pricing and anticipated new products, Supplier sales practices and programs. Vendor agrees that the confidential information will be used solely for the purpose of conducting business with Supplier. Vendor must not disclose or distribute any confidential information to any competitor of Supplier or to any other third party without the express written consent of the Supplier.

All logos, images, product images and content supplied by Supplier, including images on Supplier’s web site and its Shared Folders are the exclusive property of KONA CAVE® (Happy Hanalei GmbH). Vendor may use these images only in connection with the sale of Supplier’s products and only in compliance with any policies or terms stated by the Supplier. No other use or distribution is permitted.  Vendor may not use Supplier’s images in connection with the sale of products from any person or entity other than the Supplier. The Supplier retains the right to terminate Vendor’s permission to use these images at any time and for any reason.

Prices and product availability are subject to change without notice.  Supplier will make every effort to ensure Vendor has current price and product availability information.

To confirm, by placing an order, the Vendor accepts all Supplier’s terms and policies set forth in this Sales Partnership Agreement.

The Supplier reserves the right to modify any of the terms of this Sales Agreement with notice to the customer.
